1. Acceptance of Terms

By accessing or using SeeGrant ("Service," "Platform," "we," "us," or "our"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and SeeGrant.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Platform and updating the "Effective Date." Your continued use of the Service after such modifications constitutes your acceptance of the revised Terms.

2. Description of Service

SeeGrant is a software-as-a-service (SaaS) platform that provides grant discovery, eligibility analysis, application management, and related tools for small businesses, nonprofits, and other organizations seeking funding opportunities. The Service includes AI-powered features for grant matching and application assistance.

The Service is provided for informational and organizational purposes only. SeeGrant does not guarantee funding, approve grants, or act as a grantor. Grant decisions are made solely by the respective funding organizations.

3. User Accounts and Registration

To access certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your login credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

You must be at least 18 years of age to use this Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

4. Subscription and Payment Terms

Certain features of the Service require a paid subscription. By subscribing to a paid plan, you agree to pay all applicable fees as described at the time of purchase. Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan.

  • Automatic Renewal: Subscriptions automatically renew unless canceled before the renewal date
  • Refunds: You can request a full refund within 14 days of your first payment by contacting support. After that, subscription fees are non-refundable except as required by applicable law
  • Price Changes: We may change subscription prices with 30 days' notice
  • Failed Payments: We may suspend access if payment fails after reasonable attempts to collect

5. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable federal, state, local, or international law or regulation
  • Submit false, misleading, or fraudulent information in grant applications
  • Infringe upon the intellectual property rights of others
  • Transmit viruses, malware, or other harmful code
  • Attempt to gain unauthorized access to the Service or related systems
  • Interfere with or disrupt the Service or servers
  • Use automated systems (bots, scrapers) without express written permission
  • Resell, sublicense, or redistribute the Service without authorization
  • Harass, abuse, or harm other users
  • Circumvent any security measures or access controls

6. User Content and Data

You retain ownership of all content, data, and materials you submit to the Service ("User Content"). By submitting User Content, you grant SeeGrant a non-exclusive, worldwide, royalty-free license to use, store, process, and display your User Content solely for the purpose of providing and improving the Service.

You represent and warrant that you have all necessary rights to submit User Content and that such content does not violate any third-party rights or applicable laws. You are solely responsible for the accuracy and legality of your User Content.

7. Intellectual Property Rights

The Service, including its original content, features, functionality, design, and underlying technology, is owned by SeeGrant and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse engineer or attempt to extract the source code of the software, unless permitted by law or with our express written consent.

8. AI-Generated Content Disclaimer

The Service uses artificial intelligence to provide grant recommendations, eligibility analysis, and application drafting assistance. AI-generated content is provided for informational purposes only and should not be relied upon as legal, financial, or professional advice.

You acknowledge that AI-generated content may contain errors, omissions, or inaccuracies. You are solely responsible for reviewing, verifying, and editing all AI-generated content before submission to grantors. SeeGrant is not liable for any consequences resulting from the use of AI-generated content.

8.1 User-Added External Grants

The Service allows you to add and track grant opportunities that you discover from external sources ("User-Added Grants"). These grants are sourced and entered by you, not by SeeGrant.

By adding User-Added Grants, you acknowledge and agree that:

  • SeeGrant has not verified, validated, or confirmed the legitimacy or accuracy of User-Added Grants
  • You are solely responsible for verifying the authenticity and requirements of any grant opportunity you add
  • SeeGrant is not liable for any losses, damages, or consequences resulting from applying to User-Added Grants
  • AI analysis and eligibility assessments for User-Added Grants are based solely on the information you provide and may be incomplete or inaccurate
  • User-Added Grants are clearly marked with a "User-added" badge to distinguish them from grants curated by SeeGrant

You agree to exercise due diligence when evaluating and applying to User-Added Grants, including verifying the legitimacy of the funding organization and the terms of the grant opportunity.

9. Third-Party Services and Integrations

The Service may contain links to third-party websites, services, or resources, including grantor websites and government portals. SeeGrant does not control and is not responsible for the content, privacy policies, or practices of any third-party sites or services.

Your interactions with third-party services are governed by their respective terms and policies. We encourage you to review the terms and privacy policies of any third-party services you access through our Platform.

9.1 API and Integration Services

SeeGrant offers API access and integration capabilities (including Zapier integration) to enable automation and data synchronization with external services. By using these integration features, you agree to:

  • Maintain the confidentiality and security of your API keys
  • Not share API keys with unauthorized parties
  • Revoke API keys immediately if they are compromised
  • Use integrations in compliance with applicable rate limits and fair usage policies
  • Accept responsibility for all actions taken through your API keys

SeeGrant reserves the right to revoke API access for accounts that violate these Terms or engage in abusive behavior. API keys are provided "as is" and SeeGrant makes no guarantees regarding the availability or uptime of integration services.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

SeeGrant does not warrant that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We do not guarantee the accuracy, completeness, or timeliness of grant information, eligibility assessments, or success probability scores.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM SEEGRANT OR THROUGH THE SERVICE WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SEEGRANT, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content
  • Failure to receive grant funding or rejection of grant applications

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID TO SEEGRANT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify, defend, and hold harmless SeeGrant, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms
  • Your User Content
  • Your use of the Service
  • Your violation of any rights of a third party
  • Your violation of any applicable laws or regulations

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

You may terminate your account at any time by contacting us or using the account settings. Upon termination, certain provisions of these Terms will survive, including Sections 6, 7, 10, 11, 12, 14, and 15.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules.

You agree that any arbitration shall be conducted on an individual basis and not as a class, consolidated, or representative action. You waive your right to participate in a class action lawsuit or class-wide arbitration.

Notwithstanding the foregoing, SeeGrant may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

15. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and SeeGrant regarding the Service
  • Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force and effect
  • Waiver: Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision
  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction
  • Force Majeure: We shall not be liable for any failure or delay resulting from circumstances beyond our reasonable control
